Заява компанії щодо рішення Апеляційної палати Вищого антикорупційного суду України

Рішення суду ігнорує факти та рішення Палати з питань підприємництва Апеляційного суду м. Амстердама, яке підтверджує, що поточна частка Shell‎ в її українському ритейл-бізнесі становить 97,44%. Невизнання рішень суду члена-засновника ЄС в той час, коли Нідерланди спільно проводять міжнародну конференцію на тему «Відновлення справедливості для України», створює хибне уявлення про бізнес Shell в Україні та є негативним сигналом для потенційних нових інвесторів країни.

Таке необґрунтоване привласнення Україною іноземних інвестицій та активів Shell суперечить міжнародному праву, яке захищає міжнародних інвесторів. Звісно, ми зробимо все можливе для захисту наших працівників, активів, інвестицій та репутації.

Рішення не враховує того факту, що з лютого 2022 року Shell інвестувала мільйони доларів у підтримку роботи свого збиткового українського ритейл-бізнесу та у збереження робочих місць для понад 1 500 наших працівників – і все це з метою збереження критично важливої національної інфраструктури для народу України. Компанія Shell дуже відповідально поставилась до забезпечення безперебійної роботи цієї критично важливої національної інфраструктури. Shell працює з дотриманням всіх відповідних законів України та міжнародних законів, включаючи законодавство про санкції‎.

ОНОВЛЕНО станом на 22 квітня:

Shell була прозорою в дискусіях з представниками Уряду України, включаючи Офіс Президента, протягом усього процесу, здійсненого під наглядом голландського суду, в результаті якого були випущені додаткові акції на користь Shell, а непряма частка Shell в ТОВ «Альянс Холдинг» зросла з 51% до 97,44%.

COMPANY’S STATEMENT ON THE RULING OF THE APPEAL CHAMBER OF THE HIGHER ANTICORRUPTION COURT OF UKRAINE

After many weeks of court hearings and unwarranted social media disinformation, we are extremely disappointed by today’s outcome from the Appeal Chamber of the Higher Anticorruption Court of Ukraine. As we have explained repeatedly to the Ministry of Justice of Ukraine in court, their case is based on incorrect and out-of-date information. The ruling ignores both the facts as well as the decision from the Enterprise Chamber of the Amsterdam Court of Appeal confirming Shell’s current shareholding of 97,44% in its Ukrainian retail business. This failure to recognise a court ruling from a founding member of the EU on the day when The Netherlands is co-hosting an international conference on "Restoring Justice for Ukraine” presents a false picture of Shell’s business in Ukraine and sends a damaging message to potential new investors in the country.
This is an unjustified appropriation of Shell's foreign investments and assets by Ukraine, in contravention of international law that protects international investors. It should come as no surprise that we will take all necessary steps to protect our people, assets, investments and reputation.
The ruling also appears to discount the fact that since February 2022 Shell has injected millions of dollars to keep its loss-making Ukrainian retail business operational and to keep our staff of more than 1,500 employed, all with the goal of maintaining critical national infrastructure for the people of Ukraine. Shell has taken its responsibility to ensure the continuity of this critical national infrastructure very seriously. Shell complies with all relevant Ukrainian and international laws, including sanctions.

Shell has been transparent in discussions with representatives of the Government of Ukraine, including the Office of the President, throughout the process, mandated by a Dutch court, that issued additional shares in Shell’s favour, resulting in Shell’s share in Alliance Holding increasing from 51% to 97.44%.
